사회이사후보추천위원회
- 사외이사후보추천위원회는 관련 법규와 회사 정관 및 이사회 규정에 의거하여 회사의 사외이사 후보를 추천하기 위해 구성된 이사회내 위원회입니다. 본 위원회는 사외이사 후보에 대해, 회사에 대한 독립성 여부, 글로벌 기업에 맞는 자질•역량 등을 종합적으로 검토하여 주주총회에 추천하는 역할을 수행합니다.
구성
사외이사후보추천위원회는 관련 규정에 의거하여 2인 이상의 이사로 구성하며, 위원의 과반수는 사외이사로 합니다.
위원장은 위원 중에서 결의로서 선정하며, 위원회 위원의 선임 및 해임은 이사회 결의로 합니다.
- 사외이사후보추천위원회는 현재 사외이사 3명으로 구성되어 있으며, 위원장은 정병석 사외이사입니다.

역할
위원회는 주주총회 소집 이사회 전에 사외이사 후보를 추천합니다.
위원회는 사외이사 후보를 추천함에 있어 다음 사항을 고려해야 합니다.
- 추천 후보의 자질∙역량이 회사와 주주의 이익에 부합
- 관련 법규 및 회사 규정에서 정하는 자격 요건을 충족
- 추천 절차의 공정성 및 투명성 확보 등
